Public Offer Agreement

for the provision of vehicle selection, delivery, and registration services

Effective date: May 16, 2025

This document is an official public offer (proposal) of an individual or legal entity operating under the XDRIVE brand to provide services related to the selection, delivery, and registration of vehicles from the USA and Europe (hereinafter referred to as the "Contractor") to any interested person (hereinafter referred to as the "Customer").

Acceptance of this offer is equivalent to signing a written agreement under the terms set out below.

1. Subject of the Agreement

1.1. The Contractor undertakes to provide the Customer with information, consulting, and organizational services for the selection, purchase, delivery, customs clearance, and/or registration of a vehicle from the USA or European countries according to the Customer's request, and the Customer agrees to pay for these services under the terms of this Agreement.

2. Procedure for Concluding the Agreement

2.1. The Agreement is concluded by the Customer joining this Agreement without signing a separate written copy.

2.2. The fact of submitting a request via the website form, phone call, correspondence, providing initial data, or making a prepayment confirms acceptance of this offer.

3. Rights and Obligations of the Parties

3.1. Obligations of the Contractor:

Provide the Customer with full consultation on vehicle selection, purchase, and delivery processes;
Perform all cooperation stages according to the plan agreed with the Customer;
Inform the Customer about the stages of service execution;
Deliver the vehicle along the agreed route and assist with documentation.

3.2. Rights of the Contractor:

Involve third parties (logistics companies, brokers, service stations, etc.) to perform certain stages;
Receive payment according to agreed rates and stages of work;
Refuse cooperation without explanation if the Customer violates the terms or acts in bad faith.

3.3. Obligations of the Customer:

Provide the Contractor with accurate information necessary for service delivery;
Make payments in a timely manner as provided by the Agreement;
Respond promptly to the Contractor's requests (rate confirmations, payments, etc.).

4. Service Cost and Payment Procedure

4.1. The cost of the Contractor’s services is determined individually for each Customer, depending on complexity, delivery direction, and other factors.

4.2. Payment is made in stages according to the agreed commercial plan (e.g., prepayment, auction bidding, transportation, customs clearance).

4.3. The final cost of the vehicle is determined after all delivery and customs clearance stages are completed.

5. Liability of the Parties

5.1. The Contractor is not liable for the actions of third parties, including auctions, logistics companies, customs authorities, etc.

5.2. In case of delays caused by the Contractor, they are obliged to compensate for the delay according to individually agreed terms.

5.3. The Customer is responsible for the accuracy of the provided information and timely payment for services.

6. Confidentiality

6.1. All information received during the execution of this Agreement is confidential and may not be disclosed without the consent of the parties, except as required by law.

7. Term of the Agreement

7.1. This Agreement enters into force upon acceptance of the offer and remains in effect until all obligations are fulfilled by the parties.

7.2. The Contractor has the right to change the terms of this Agreement at any time by publishing an updated version on the website.
